01Acceptance of the terms and conditions
1.1 This document (the "Agreement" or the "Terms and Conditions") governs access to and use of the Sentrio platform (Sentrio Website), owned by SENTRIO SECURITY INC. ("Sentrio"), by any natural or legal person who accesses, uses or subscribes to the services offered (the "User").
1.2 By creating an account, accessing or using Sentrio's services, the User declares that they have read, understood and accepted these Terms and Conditions. If the User does not agree with them, the User must refrain from using the platform.
02General description of the service
2.1 Sentrio offers a unified cybersecurity platform for organizations, designed to centralize, analyze and manage information from multiple security tools and sources, supporting strategic decision-making and risk prioritization. The service is aimed at companies seeking to optimize their security management processes, reduce operational complexity and improve visibility of their cyber risks.
2.2 The service offers, among other main features:
- Unified Dashboard: integrates more than 32 security tools into a single view in near real time, reducing operational complexity.
- Risk Quantification: translates cyber threats into financial terms through AI-driven analysis, enabling informed decisions and risk prioritization.
- VendorSync Risk: assesses internal and external risks (including suppliers and attack surfaces), identifying unpatched vulnerabilities that could compromise the supply chain.
- Compliance Tracking: monitors regulatory compliance in real time against the GDPR, ISO 27001 and local regulations, generating automated reports for regulatory audits.
- ROI Measurement: quantifies the return on investment of security initiatives, tools and suppliers, supporting value management and cost reduction.
2.3 Reports are prepared from the data provided by the third-party tools integrated into the platform.
2.4 To access and use Sentrio's services, the User must have a stable, high-speed Internet connection. The User is also responsible for having the equipment, software and other resources needed to connect to the platform. Sentrio shall not be responsible for notifying the User of updates, improvements or fixes to the software used, nor for problems in the transmission of data over external networks, including the Internet and other telecommunications infrastructure not owned or controlled by Sentrio.
03User capacity
3.1 Any User who accesses and uses the services provided by Sentrio must have sufficient legal capacity to contract and to accept these Terms and Conditions.
3.2 Sentrio shall not be liable for damages arising from use of the Services by persons who lack the legal capacity to contract.
04Registration and User account
4.1 To access Sentrio's services, the User must create an account through Google single sign-on (SSO) or manual registration, providing at least the following information: first name, last name, email address, company name and industry.
4.2 The User declares that all information provided is true, complete and up to date. Keeping access credentials secure and confidential is the User's sole responsibility.
4.3 Sentrio reserves the right to suspend or cancel accounts in the event of misuse, false information or breach of these Terms and Conditions.
05Plans, fees and payments
5.1 Sentrio's services are offered on an annual subscription basis, payable by credit card or bank transfer (ACH).
5.2 Sentrio currently offers a single plan, subject to review and to the future addition of different service tiers or options (for example, basic, premium or enterprise plans).
5.3 Any change to plans, fees or billing terms will be notified to the User by email with reasonable advance notice.
5.4 Payment entitles the User to use the service under the current plan for an annual subscription period, which starts on the date the payment is confirmed.
06Technical support
6.1 Sentrio offers additional technical support subject to payment of a setup fee. This support includes assistance with the configuration, integration and launch of the platform.
6.2 Support is provided during the hours and through the channels that Sentrio determines, which will be communicated to the User at the time of contracting.
6.3 Any support or assistance beyond the scope of the initial setup may involve additional costs, which will be disclosed to and agreed with the User in advance.
07Intellectual property
7.1 All rights in the Sentrio platform, its source code, interfaces, designs, trademarks, logos, content, domains, reports, databases and any other associated material or element are the exclusive property of Sentrio.
7.2 The User receives a limited, revocable, non-exclusive and non-transferable licence to access and use the platform in accordance with these Terms and Conditions, without acquiring any intellectual property rights.
7.3 Any reproduction, modification, distribution, copying, publication or other unauthorized use of Sentrio's content, tools or materials is strictly prohibited. It is also expressly prohibited to reverse engineer, decompile, disassemble, or extract code, algorithms, data or any technological component of the service, whether for commercial, development, research or any purpose other than that described in these Terms, without Sentrio's prior written authorization.
08Acceptable use and restrictions
8.1 The User undertakes to use the service diligently.
8.2 The User shall refrain from any action that may affect the security, integrity or availability of Sentrio, its systems or those of third parties. In particular, it is expressly prohibited to:
- (a) Use the platform for unlawful or fraudulent purposes, or in a way that infringes the rights of third parties.
- (b) Access, attempt to access or interfere with other people's accounts, systems, networks or data.
- (c) Share, transfer or allow the use of access credentials by unauthorized persons.
- (d) Introduce or distribute viruses, malware, ransomware or any other malicious code that may damage, alter or interrupt the operation of the service.
- (e) Use automated tools or other mechanisms to extract information or perform unauthorized actions on the system.
8.3 Sentrio may suspend or cancel the access of any User who breaches these obligations, without prejudice to any applicable legal action.
09Third-party tools and services
9.1 Sentrio integrates with multiple cybersecurity tools and third-party services, including Amazon Web Services (AWS) as its hosting provider and other third-party applications or APIs.
9.2 Use of these tools is subject to the terms, policies and responsibilities of each provider. Sentrio accepts no liability for interruptions, errors or vulnerabilities originating in those external services.
10Confidentiality and data protection
10.1 Sentrio undertakes to keep confidential all User information it has access to while providing the service. Personal data supplied will be processed in accordance with Sentrio's Privacy Policy, available at: https://www.gosentrio.com/privacy-policy
10.2 Personal data collected is processed in accordance with the principles of lawfulness, purpose limitation, proportionality and security, and will be used exclusively to provide the service and for associated administrative purposes.
10.3 Sentrio may transfer data to providers or servers located in other jurisdictions, ensuring adequate levels of protection in line with international standards and the requirements of applicable law.
11Relationship of the parties
11.1 The Parties act as independent contractors. This Agreement does not create any partnership, association, joint venture, agency, mandate, fiduciary relationship or employment relationship of any kind between Sentrio and the User.
11.2 The User is solely responsible for assessing and determining whether the services offered by Sentrio meet its technical, operational and/or business requirements.
11.3 Business partners, integrators and other third parties connected with Sentrio's services, including the providers of the cybersecurity tools the platform integrates with, or consultants hired directly by the User for implementation, configuration or advisory work, act independently of Sentrio. Under no circumstances shall such third parties be considered representatives, agents or employees of Sentrio.
12Maintenance, availability and updates
12.1 Sentrio may carry out maintenance, improvements or updates that may cause temporary interruptions to the service. Where possible, such work will be notified with reasonable advance notice. The User acknowledges that Sentrio does not guarantee continuous or uninterrupted availability of the service, and that any interruptions shall not constitute a breach of contract.
13Term, cancellation and termination
13.1 This Agreement takes effect on the date the User confirms their subscription by making the corresponding payment (the "Subscription Date") and lasts for one (1) calendar year from that date.
13.2 The service will be provided throughout the contracted annual period, unless the User or Sentrio decides to terminate it under the conditions set out in this Agreement.
13.3 On expiry, the subscription renews automatically for successive periods of one (1) year, unless either party gives written notice of its decision not to renew at least thirty (30) days before the end of the current period.
13.4 Amounts paid are non-refundable, unless the termination is attributable to Sentrio.
14Limitation of liability
14.1 The User acknowledges that Sentrio's service is based on the integration and analysis of data from third-party tools. Sentrio therefore does not guarantee the accuracy or completeness of that information and accepts no liability for errors, omissions or interruptions arising from those external systems.
14.2 In no event shall Sentrio be liable for indirect, incidental, punitive or consequential damages, including loss of profits, revenue or data, even if it has been advised of the possibility of such damages.
14.3 Sentrio's total liability to the User arising from this Agreement or from use of the services shall not exceed the total subscription amount paid during the twelve (12) months immediately preceding the event giving rise to the claim.
15Disclaimer of warranties
15.1 Sentrio's service is provided "as is" and "as available", without warranties of any kind, express or implied, including, among others, warranties of merchantability, fitness for a particular purpose or freedom from errors. Sentrio does not guarantee that the results derived from use of the service will be accurate or reliable.
16Force majeure
16.1 Sentrio shall not be liable for delays or failures to perform resulting from causes beyond its reasonable control, including, without limitation, natural disasters, power or communications failures, cyberattacks, labour disputes, government actions or any other force majeure event.
17Assignment
17.1 The User may not assign or transfer this Agreement or any of the rights or obligations arising from it without Sentrio's prior written consent.
17.2 Sentrio may assign its rights or obligations to affiliated companies or in the context of a corporate restructuring, merger or acquisition.
18Changes to the service and to the Terms
18.1 Sentrio may modify, update or discontinue all or part of the service, and may revise these Terms, notifying the User through the reasonable means available (email, notice on the platform).
18.2 Changes take effect on the date stated in the notice or, failing that, five (5) days after publication. Continued use of the service after the changes take effect constitutes acceptance of the new Terms and Conditions.
19Communications and notices
19.1 Any communication or notice relating to this Agreement is valid if made in writing and sent by email to the address registered by the User or to the address Sentrio indicates in due course.
19.2 The User agrees that electronic notices have the same validity as written communications on paper.
20Governing law and jurisdiction
20.1 These Terms and Conditions are governed by the laws in force in the State of Florida, United States of America.
20.2 Any dispute arising from this Agreement or relating to the use of Sentrio's services shall be submitted to the exclusive jurisdiction of the competent courts of the State of Florida, the parties waiving any other venue that might otherwise apply.
21General provisions
21.1 The invalidity or unenforceability of any provision of this Agreement shall not affect the validity of the remaining clauses. Any failure or delay by either party in exercising a right or power shall not constitute a waiver of it.
21.2 This document constitutes the entire agreement between the parties regarding use of the service and supersedes any prior understanding or agreement, oral or written, on the same subject.
